1. Introduction

Welcome to EcoFinance. These Terms of Service ("Terms") govern your use of our website located at www.ecofinance.com (the "Site") and all related services offered by EcoFinance ("Services"). By accessing or using our Site and Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.

We may modify these Terms at any time. Your continued use of the Site following the posting of any changes constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically.

2. Service Description

EcoFinance provides accounting and tax support services including but not limited to bookkeeping, tax planning and compliance, financial consulting, payroll services, audit support, and business formation advisory. The specific details, deliverables, and fees for Services will be outlined in separate engagement agreements between EcoFinance and its clients.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice or liability.

3. User Accounts

Some features of our Services may require registration and the creation of an account. When you create an account, you must provide accurate and complete information. You are solely responsible for the activity that occurs under your account, and you must keep your account password secure.

You must notify us immediately of any breach of security or unauthorized use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.

4. Client Responsibilities

As a client of EcoFinance, you are responsible for:

  • Providing accurate, complete, and timely information necessary for the performance of our Services.
  • Reviewing any work, statements, reports, or other deliverables we provide and promptly notifying us of any questions or concerns.
  • Making timely payments for Services in accordance with agreed-upon terms.
  • Complying with all applicable laws and regulations related to your business operations.
  • Securing and maintaining the confidentiality of your account credentials and any financial information.

5. Fees and Payments

Fees for our Services will be outlined in separate engagement agreements. Unless otherwise specified, all fees are quoted in US dollars and are subject to change with notice. Payment terms, including due dates and acceptable payment methods, will be specified in your engagement agreement or invoice.

Failure to make timely payments may result in the suspension or termination of Services. We reserve the right to charge late fees on overdue amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

6. Intellectual Property

The content, organization, graphics, design, compilation, and other matters related to the Site are protected under applicable copyrights, trademarks, and other proprietary rights. Copying, redistribution, use, or publication by you of any such content or any part of the Site is prohibited without express permission from EcoFinance.

EcoFinance and its logos are trademarks owned by EcoFinance. Other trademarks, service marks, graphics, and logos used in connection with our Site may be the trademarks of other third parties. Your use of our Site grants you no right or license to reproduce or otherwise use any EcoFinance or third-party trademarks.

7. Confidentiality

We understand the importance of keeping your financial information confidential. We will maintain the confidentiality of all information provided by you in connection with our Services, except as required by law or as necessary to provide our Services. 8. Limitation of Liability

To the fullest extent permitted by applicable law, EcoFinance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of or inability to access or use the Services;
  • Any conduct or content of any third party on the Services;
  • Any content obtained from the Services; or
  • Unauthorized access, use, or alteration of your transmissions or content.

In no event shall our aggregate liability for all claims related to the Services exceed the greater of one hundred dollars ($100) or the amounts paid by you to EcoFinance for the past six months of Services.

9. Indemnification

You agree to indemnify, defend, and hold harmless EcoFinance, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of the Site or Services;
  • Your violation of these Terms;
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
  • Any claim that content submitted by you causes damage to a third party.

10. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located within New York County, New York.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.
